AUTHOR SUBMISSION NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into between Ghostline Publishers LLC (“Publisher”) and the submitting author (“Author”) for the purpose of evaluating written materials submitted for potential publication.

​

1. PURPOSE

​

The Author may submit manuscripts, proposals, outlines, or other written materials (“Submission”) to Ghostline Publishers LLC for review and evaluation. This Agreement governs the confidentiality and use of such materials.

​

2. CONFIDENTIALITY

​

Ghostline Publishers LLC agrees that all submitted materials will be treated as confidential. The Publisher shall not disclose, distribute, sell, license, or otherwise make available any Submission to third parties except as necessary for internal editorial review.

​

3. OWNERSHIP OF MATERIALS

​

All Submissions remain the sole intellectual property of the Author unless and until a separate written publishing agreement is executed by both parties.

Nothing in this Agreement grants Ghostline Publishers LLC any ownership, license, or rights to the Submission beyond the limited purpose of evaluation.

4. NO OBLIGATION TO PUBLISH

​

The Author understands that submission of materials does not obligate Ghostline Publishers LLC to publish, represent, or enter into any agreement with the Author.

​

5. NO COMPENSATION

​

The Author acknowledges that no compensation is owed for the review of submitted materials unless a separate publishing agreement is executed.

​

6. EXCLUSIONS

​

Confidentiality obligations do not apply to information that:

  • Is already publicly available through no fault of the Publisher

  • Was lawfully known to the Publisher prior to submission

  • Is independently developed without reference to the Submission

  • ​

7. LIMITATION OF LIABILITY

​

Ghostline Publishers LLC shall not be liable for incidental or consequential damages arising from the submission or review process, except in cases of willful misconduct or gross negligence.

​

8. GOVERNING LAW

​

This Agreement shall be governed by and construed in accordance with the laws of the state in which Ghostline Publishers LLC is registered.

​

9. ACKNOWLEDGMENT

​

By submitting materials to Ghostline Publishers LLC, the Author acknowledges that they have read, understood, and agreed to the terms of this Non-Disclosure Agreement.
